1. Acceptance of These Terms

These Terms of Service ("Terms") are a legal agreement between you and MDRx Labs LLC, a Wyoming limited liability company ("MDRxLabs," "we," "us," or "our"), governing your access to and use of mdrxlabs.com, related websites and online interfaces operated by MDRxLabs, and the non-clinical products, administrative services, content, and functionality made available through them (collectively, the "MDRxLabs Services").

By creating an account, clicking or checking a box indicating acceptance, purchasing a membership or service, or otherwise affirmatively agreeing to these Terms, you agree to be bound by them. If you do not agree, do not use the MDRxLabs Services.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the MDRxLabs Services.

2. MDRxLabs Is Not a Medical Practice

MDRxLabs operates the consumer-facing and administrative components of an online weight-management program. MDRxLabs is not a medical group, physician practice, pharmacy, or other licensed healthcare provider, and MDRxLabs does not practice medicine, diagnose conditions, prescribe medications, or direct the independent clinical judgment of healthcare professionals.

Clinical services are provided by independent licensed healthcare professionals through professional medical practices or other appropriately licensed entities. Those professionals are solely responsible for medical evaluation, diagnosis, treatment recommendations, prescribing decisions, and other clinical care. A provider-patient relationship is established only with the healthcare professional or professional entity providing your clinical care, not with MDRxLabs.

Prescription fulfillment and dispensing are performed by appropriately licensed pharmacies. Pharmacies and healthcare professionals are independent from MDRxLabs and are responsible for their own professional and legal obligations.

3. No Emergency Services

The MDRxLabs Services are not an emergency service. If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person emergency care. Do not use the website, patient messaging, email, or customer support for emergencies.

4. Eligibility and Service Area

The program is intended for adults age 18 or older who are physically located in a jurisdiction where the applicable services may lawfully be provided. MDRxLabs currently supports access in the 48 contiguous United States, subject to clinician licensing and availability, pharmacy fulfillment capabilities, product availability, medical eligibility, and applicable law.

We may restrict, suspend, or decline access to the MDRxLabs Services in any jurisdiction or for any person when necessary to comply with law, professional requirements, safety standards, payment requirements, or operational limitations.

5. Telehealth and Prescribing

Access to a health assessment, intake questionnaire, educational material, membership, or payment does not guarantee that a healthcare professional will prescribe medication or recommend any particular treatment.

Clinical appropriateness is determined solely by the treating healthcare professional after review of the information available and completion of any telehealth interaction required by clinical judgment or applicable law. You agree to provide complete, current, and truthful health information and to promptly correct information that is inaccurate or incomplete.

Treatment may involve GLP-1 or GLP-1/GIP medications when clinically appropriate. Medication availability, formulation, dosage, and continuation of therapy are subject to the independent judgment of the treating clinician, pharmacy availability, applicable law, and other clinical or operational factors.

6. Compounded Medications

Where a treating clinician determines that a compounded medication is appropriate and the medication may lawfully be prescribed and dispensed, the prescription may be filled by a state-licensed compounding pharmacy. Compounded drugs are not FDA-approved and are not reviewed by the FDA for safety, effectiveness, or quality before marketing.

MDRxLabs does not manufacture or compound prescription medications. The appearance, packaging, concentration, or formulation of a compounded medication may differ from images or descriptions presented for general informational purposes on the website.

7. Accounts and Information

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You may not share your account with another person or impersonate another individual.

You represent that information you submit is truthful, accurate, current, and complete. Providing false, incomplete, misleading, or another person's information may result in suspension or termination of access and may affect your eligibility for treatment.

8. Fees, Memberships, and Automatic Renewal

Prices, membership terms, plan length, billing intervals, and included services are disclosed at checkout or otherwise before purchase. Depending on the plan selected, billing may recur monthly, every three months, or at another interval clearly disclosed before enrollment. Unless a plan is expressly identified as non-recurring, it will automatically renew at the disclosed interval until canceled.

MDRx Labs LLC is the merchant of record for program charges. By enrolling in an automatically renewing plan, you authorize MDRxLabs and its payment service providers to charge the payment method you provide for the amount and frequency disclosed at checkout, including applicable taxes and changes that are properly disclosed and authorized as required by law.

You may cancel future renewals using the cancellation methods made available through your account or by contacting support@mdrxlabs.com. Cancellation prevents future recurring charges but does not, by itself, create a right to a refund of a charge that has already been processed. The Refund & Cancellation Policy is incorporated into these Terms.

Additional or state-specific renewal notices, reminders, or cancellation methods will be provided when required by applicable law.

9. Refunds, Cancellations, and Prescription Orders

Payments are subject to the Refund & Cancellation Policy. In general, charges become non-refundable once the initial medical intake has been submitted and clinical review or order processing has begun, except for the limited circumstances expressly stated in that policy or as otherwise required by law.

Prescription medications are personalized healthcare products and generally cannot be returned, restocked, or reused after they have been ordered or dispensed for a patient.

10. Shipping and Fulfillment

Shipping and delivery estimates are estimates, not guarantees. Processing and delivery may be affected by clinical review, pharmacy operations, prescription requirements, patient response times, carrier performance, weather, holidays, inventory, state law, and other factors outside MDRxLabs's control.

You are responsible for providing an accurate and deliverable shipping address and promptly reporting delivery problems. The Shipping & Fulfillment Policy is incorporated into these Terms.

11. Cash-Pay Program

The MDRxLabs program is offered on a cash-pay basis. MDRxLabs does not submit claims to private insurance, Medicare, or Medicaid. You may independently seek reimbursement from an insurer or submit eligible expenses for HSA/FSA reimbursement, but MDRxLabs does not guarantee coverage, reimbursement, eligibility, or tax treatment. You are responsible for determining whether any expense qualifies under your plan or account.

12. Privacy and Health Information

MDRxLabs's Privacy Policy describes MDRxLabs's collection and use of personal information. Certain health information may also be protected health information under HIPAA and governed by the Notice of Privacy Practices of the healthcare provider responsible for your care. MDRxLabs's Privacy Policy does not replace the rights and obligations contained in an applicable healthcare provider's Notice of Privacy Practices.

Consumer health data that is not governed by HIPAA may also be subject to state consumer health data laws and the MDRxLabs Consumer Health Data Privacy Policy.

13. Electronic Communications

You consent to receive agreements, disclosures, receipts, administrative notices, account messages, and other transactional communications electronically at the email address or telephone number you provide. Electronic delivery satisfies any requirement that such communications be provided in writing to the extent permitted by law.

Marketing communications are subject to separate consent where required. You may opt out of marketing communications using the methods described in the applicable message or the SMS Terms. Opting out of marketing does not prevent MDRxLabs or a healthcare provider from sending non-marketing communications that are necessary to administer your account, provide care, protect safety, or comply with law.

Telephone calls with MDRxLabs may be recorded or monitored for quality assurance, training, security, compliance, and customer-service purposes. Where applicable law requires notice or consent before recording, the applicable notice or consent will be provided.

14. Website Content Is General Information

Website content is provided for general educational and informational purposes and is not a substitute for individualized medical advice from your treating healthcare professional. Product descriptions, articles, FAQs, testimonials, illustrations, and other content do not create a provider-patient relationship and should not be relied upon to diagnose or treat a condition.

Individual treatment results vary. No outcome, amount of weight loss, duration of treatment, or medication response is guaranteed.

15. Intellectual Property

The MDRxLabs website and MDRxLabs-owned text, graphics, branding, design, software, and other content are protected by intellectual property laws. Subject to these Terms, MDRxLabs grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website for your personal, non-commercial use.

You may not copy, reproduce, distribute, modify, scrape, reverse engineer, create derivative works from, or commercially exploit MDRxLabs-owned content except as permitted by law or with MDRxLabs's prior written permission.

16. Prohibited Conduct

You may not use the MDRxLabs Services to violate law; impersonate another person; submit fraudulent, false, or misleading information; obtain prescription products for another person; interfere with website security or operation; introduce malware; scrape or harvest data without authorization; infringe intellectual property or privacy rights; harass personnel or providers; or engage in conduct that threatens patient safety, platform integrity, or lawful operation.

17. Third-Party Services

MDRxLabs relies on independent healthcare professionals, pharmacies, payment services, technology vendors, shipping carriers, and other service providers. Their services may be governed by separate terms, privacy notices, professional duties, or legal requirements. MDRxLabs is not responsible for independent professional judgment or conduct that is outside MDRxLabs's control, except to the extent applicable law imposes responsibility on MDRxLabs.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MDRX SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." MDRX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES.

THIS DISCLAIMER APPLIES TO MDRX'S NON-CLINICAL AND ADMINISTRATIVE SERVICES. IT IS NOT INTENDED TO ALTER PROFESSIONAL DUTIES OWED BY A LICENSED HEALTHCARE PROFESSIONAL OR TO WAIVE RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDRX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF THE MDRX SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDRX'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF MDRX'S OWN NON-CLINICAL SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MDRX FOR THE MDRX SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT TO THE EXTENT SUCH LIMITATION IS PROHIBITED.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless MDRxLabs and its officers, employees, and agents from third-party claims arising from your unlawful use of the MDRxLabs Services, your fraud or willful misconduct, your material breach of these Terms, or your infringement of another person's rights. This obligation does not require you to indemnify MDRxLabs for MDRxLabs's own negligence or misconduct where such indemnification is prohibited by law.

21. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR MATTERS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT AND MATTERS THAT APPLICABLE LAW DOES NOT PERMIT TO BE ARBITRATED, YOU AND MDRX AGREE THAT DISPUTES BETWEEN YOU AND MDRX ARISING FROM THESE TERMS, THE WEBSITE, MDRX'S NON-CLINICAL SERVICES, BILLING, OR MARKETING WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

The Federal Arbitration Act governs this arbitration agreement. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before one arbitrator. MDRxLabs will pay arbitration fees it is required to pay under the applicable AAA rules. The arbitrator may award any individual relief available under applicable law.

You and MDRxLabs waive the right to a jury trial and to participate in a class, collective, consolidated, or representative action to the fullest extent permitted by law. If applicable law prohibits waiver of a particular form of public injunctive relief, a request for that relief may proceed in court after arbitrable claims are resolved.

You may opt out of this arbitration agreement by sending an email to support@mdrxlabs.com with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you opt out of arbitration. You may also mail the notice to MDRx Labs LLC, Attn: Legal, 16411 N 90th Street Suite 101, Scottsdale, AZ 85260.

This arbitration provision applies only to disputes with MDRxLabs. It does not purport to bind a healthcare professional, professional medical entity, or pharmacy to arbitration unless that party has separately agreed with you to arbitrate.

22. Governing Law and Venue

Except to the extent federal law or another state's non-waivable consumer law applies, these Terms are governed by the laws of the State of Arizona without regard to conflict-of-law principles. For disputes that are not subject to arbitration, you and MDRxLabs consent to the state and federal courts located in Maricopa County, Arizona, except where applicable law requires another forum.

23. Changes to the Services or Terms

MDRxLabs may update these Terms from time to time. The updated version will identify its effective date. If a change materially affects your rights or an existing automatically renewing service, MDRxLabs will provide additional notice when required by law. Continued use after the effective date of an update constitutes acceptance only to the extent permitted by law.

24. Miscellaneous

If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. MDRxLabs's failure to enforce a provision is not a waiver. You may not assign these Terms without MDRxLabs's consent; MDRxLabs may assign them in connection with a merger, reorganization, sale, or transfer of its business or assets. These Terms and the policies incorporated by reference form the agreement between you and MDRxLabs concerning the MDRxLabs Services.
